Welcome to Learn from Native, a
private limited company that operates an online platform for learning multiple
languages. The important stakeholders engaging on this platform shall include
students above 8 years of age (could be adults as well who tend to learn any
language), their parents, and our native teachers.
By accessing or using the Learn from
Native website, you confirm a binding contract with us. You agree to comply
with the following terms in these Terms of Use (“Terms”). You understand that
your access to and use of our website and the Learn from Native Platform is
also subject to our Privacy Policy, which outlines specific information related
to your data usage when interacting with this website.
1. Contractual Relationship
By accessing and using the Learn from
Native website within India, you agree to be bound by these terms. If you're a Teacher-to-be, or an aspiring 'tutor,' we will need you to
sign a separate Independent Contractor Agreement before getting started with
your own tutoring program on our Learn from Native Platform.
The Terms form a legally binding
agreement between you and us. Please take the time to read them carefully. You
should print or save a local copy of the Terms for your records. By accessing
or using the website, you confirm your agreement to be bound by these Terms. If
you do not agree to these Terms, you will not access or use the website.
Important: Please review these terms
carefully specially the arbitration provision in section 10, as it requires the
parties to resolve disputes on an individual basis and limits their ability to
seek relief or damages in a court of law. By accessing and using our website,
you acknowledge that you have read and understand all these terms, including
section 10, and have taken time to consider the consequences of proceeding to
access and use our site.
2. Privacy Policy
As noted above, your use of our website and the Learn from Native
Platform is subject to our Privacy Policy.
3. Using the Learn from Native
Website
You are responsible for making the
arrangements necessary to get yourself connected to the Learn from Native
platform. If you have not obtained access by normal means, there may be
security concerns that affect how you experience our technology. We will do our
best to ensure that your learning environment meets your learning needs, but we
can't guarantee anything since your access is outside of our control.
We are working perpetually on
improving the website and learning applications for our stakeholders. We will
inform you when updates are available via system prompts or by in-application
announcements. If you do not accept updates of products - new functions may be
restricted or unavailable. All the expenses associated with your equipment and
network access shall be borne by you.
You acknowledge and agree that your
use of the Learn from Native website is at your own risk. Learn from Native
provides, and you accept, the use of the Learn from Native website on an “AS
IS” basis without warranties of any kind either express or implied including but
not limited to those relating to merchantability, fitness for a particular
purpose, workmanlike effort, title and non-infringement. Learn from Native
makes no claims, guarantees, or relevant statements with respect to the actions
or inactions of Students, and expressly disclaims all liability for any act or
omission by you, Students, or other third-party
As a condition of your access to and
participation on the Learn from Native website, you agree not to violate any
law, statute, rule, permit, ordinance or regulation in connection with your use
of the site. You also agree not to interfere with the rights of others.
4. Changes to the Terms
We may amend these Terms for any
reason at our sole discretion. For example, we may change these Terms to provide
new features on the website, to reflect changes in the law or regulatory
changes or for any other reason. Once the terms are updated on this website,
you should review them once again. Your continued access to or use of the
website after the date of the new Terms constitutes your acceptance of the new
Terms. If you do not agree to the new Terms, you will stop accessing or using
the Learn from Native website.
5. Your Account
If you decide to sign-up with us as a teacher, you will need to create
an account. To create such an account, it is important that you provide
accurate and up-to-date information about yourself as required by our Privacy
Policy. It is vital that you maintain and promptly update your details and
other information provided to us to keep them up-to-date and complete.
It is imperative that you keep your account password confidential and
that you do not share it with anyone. If you know or suspect that someone from
another company has attempted to hack into your account or has been given your
details, please notify the support team straight away by emailing connect@learnfromnative.com
6. Intellectual Property Rights &
Content
We respect intellectual property
rights. As a condition of your access to and use of the Learn from Native
website, you agree not to violate or infringe upon any copyright or trademark
held by Learn from Native.
As between you and us, all content,
software, images, text, graphics, illustrations, patents, trademarks, service
marks, copyrights on the Learn from Native website are either owned or licensed
by us. Just so you know using any content on our website in any manner not
expressly permitted by these Terms is prohibited. None of the content on this
site may be downloaded, copied, reproduced, distributed, transmitted,
broadcasted or displayed without prior consent from us. We and our licensors
reserve all rights not specifically mentioned herein.
You acknowledge and agree that (i) if you decide to sign up and use the Teach at Teach at
Native, we will need to enter into a separate Independent Contractor Agreement
with you, and (ii) we can't let you start using our platform without first
signing that contract.
7. Indemnity
As a user of the Learn from Native website, you
agree to defend, indemnify and hold harmless Learn from Native, our parents,
subsidiaries and affiliates as well as their respective officers, directors,
employees, advisers and volunteers from any claims made by other users or third
parties who have been harmed or have suffered losses as a result of your misuse
of this site i.e. due to your failure to abide by
these Terms.
8. Limitation of Liability
Learn from native cannot be held
responsible for any consequences that you may face in connection with our
website or these Terms. However, if such damage does occur due to an error on
the part of learn from native, we will do everything in our power to rectify it
and make up for any damages caused. Certain jurisdictions do not allow
limitations on implied warranties or the exclusion or limitation of certain
damages. If you live in such a jurisdiction, some of the above limitations may
not apply to you, and you may have additional rights.
9. Arbitration Provision
This Agreement shall be governed by the laws of India. All disputes and
differences arising between the Parties hereto shall be resolved by arbitration
before a sole arbitrator to be mutually appointed by the Parties. The sole
arbitrator shall conduct a fast-track documents only arbitration and shall
endeavour to conclude the same
within 90 days of the date on which the same is referred to him. The
arbitral proceedings shall be conducted in accordance with the provisions of
(Indian) Arbitration and Conciliation Act, 1996, as amended from time to time.
The arbitral proceedings shall be in English, and the venue of the arbitration
shall be Pune, India. Subject to the foregoing, the courts of Pune,
Maharashtra, India shall have exclusive jurisdiction over any dispute arising
out of or in respect of this Agreement.
When you sign this agreement, you
will be resolving any dispute with the company on an individual basis in
arbitration. You will not have the right to participate in a class or
collective action against the company.
